Legislative Decree no. 231 of 2001 introduced into the Italian administrative liability of the Company for certain offenses committed by employees, in the interest and for the benefit of the companies themselves, leading to fines for the Company. However, the Decree provides for the Company's exemption from such liability if they provide proof of having:
Prepared a set of organizational procedures of its activities in order to avoid the risk of the commission of serious crimes by employees and / or directors and / or employees, from which it derives a direct company responsibility;
spread the knowledge of the model to all employees and directors, as well as external stakeholders (customers, suppliers, contractors and subsidiaries);
made effective compliance by all - directors, officers, employees and collaborators - of the procedures listed in the model while also providing disciplinary sanctions: the disciplinary system provided in the model is an integral part of the national collective bargaining agreement applicable to Emisfera's workers and to those of the Company by subsidiaries and / or affiliates.
In compliance with the provisions of the Decree, the Board of Directors Emisfera Soc. Coop. decided on 12 June 2015 the adoption of a Model of Organisation Management and Control.
As provided in the Decree, a Supervisory Panel was appointed which has the task of verifying compliance with the model and to report to the Board any information concerning upgrades and / or modifications as well as any situations of non compliance with the provisions of the model itself. The administrative responsibility of the company is independent of the criminal liability of the individual who committed the crime and joins the latter. It is expressed in the Code of Ethics principles and rules of conduct that the Company has decided to comply in carrying out its activities and in the relationship with all its stakeholders. The Organizational Model is, however, the means of raising awareness to all those who operate in the name and on behalf of the Emisfera, so the performance of their activities take correct and transparent conduct, such as to prevent the risk of committing the offenses specified in Legislative Decree no. 231/2001.
